Welcome to ReNoteSearch (renotesearch.com, "ReNoteSearch," "we," "us," or "our"), a service operated by Handele Technologies Inc., 7398 Yonge St, Suite 6D-805, Thornhill, ON L4J 8J2, Canada. By accessing our website, web application, API endpoints, or Model Context Protocol (MCP) interfaces (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, please do not access or use the Service.

1. Account registration and access

  • Account responsibility: You must provide accurate registration details and maintain the security of your credentials, session tokens, and API/MCP access tokens. You are fully responsible for all activity conducted through your account.
  • Eligibility: You must be at least 16 years old to hold an account. The Service is designed for students, educators, and general knowledge workers. If you are between 16 and the legal age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2. Billing, subscriptions, and merchant of record

  • Merchant of record: All transactions, invoice generation, tax remittance, and regional currency calculations are handled exclusively by Paddle (Paddle.com Market Ltd. or Paddle Payments Ltd.). Prices shown to you are provided by Paddle for your region and may change.
  • Plan tiers:
    • Free Starter tier: Provided without charge, capped at a monthly new-note ceiling plus standard rate limits and a one-time allowance for AI-assistant writes. The published free ceilings are part of the plan description, not a contractual guarantee, and we may change them with notice as described in section 9. Reading, editing, exporting and sharing notes you already have is not affected by the new-note ceiling.
    • Monthly subscription: Billed in advance on a recurring monthly cycle until canceled.
    • Annual subscription: Billed in advance on a recurring 12-month cycle until canceled.
    • Founder Lifetime license: A single, non-recurring payment granting lifetime access to core ReNoteSearch workspace features. "Lifetime" refers to the commercial lifecycle of the ReNoteSearch service. Founder licenses are offered in a limited quantity, and the offer ends when that quantity is sold.
  • Promotions: Promotional pricing, discount codes, and limited-time offers apply only while published and may be withdrawn or changed at any time. They do not carry over to renewals unless the offer says so.
  • Cancellations: Subscriptions renew automatically unless canceled before the next renewal date. You may cancel at any time from your account billing portal or your Paddle transaction receipt. Paid access remains available until the end of the prepaid billing period.

3. Refund policy

  • 14-day, no questions asked: If you are not satisfied with your initial purchase (Monthly, Annual, or Founder license), email support within fourteen (14) calendar days of the transaction date and we refund it in full, no questions asked.
  • No mid-cycle proration: Outside the initial 14-day period, all subscription payments are non-refundable. We do not provide prorated refunds, partial credits, or mid-cycle clawbacks for unused time or partial months.

4. Fair use, MCP access, and platform protection

To maintain availability and protect our infrastructure from automated disruption:

  • Agent and API guardrails: All external agent connections, scripts, and MCP clients must stay within the throughput ceilings, note-writing allowances, and payload size bounds published on the plans page and shown in your account. Those numbers are fair-use limits set to protect availability; we may change them, and we will publish the new numbers in the app before they take effect for existing paid plans.
  • Prohibited conduct: You agree not to:
    • Circumvent tier caps, monthly note ceilings, or rate limits.
    • Run abusive loops, high-concurrency denial-of-service traffic, or unchecked scraping against our services or database.
    • Upload, transmit, or store malicious code, viruses, or illegal material.
    • Share, resell, or transfer your account, license, or access tokens to others.
  • Enforcement: We may throttle, rate-limit, or suspend API/MCP access for accounts causing anomalous traffic or service degradation.

5. Content ownership and sharing

  • Ownership: You retain 100% intellectual property ownership of all Markdown text, notes, tags, images, and knowledge graphs stored in your ReNoteSearch workspace.
  • Operational license: You grant ReNoteSearch a non-exclusive, worldwide, limited license to host, store, index, and transmit your content solely to provide, maintain, and render the Service for you and the people you choose to share with.
  • Share with people: When you share a note with specific people, only those people can open it.
  • Share unlisted: When you share a note by link, anyone who has the link can open it, and it is not listed in anyone else's search. Treat an unlisted link as public: do not put private or personal information in a note you share this way.
  • Featured notes: With your consent or at your request, we may list a shared note in public search inside the Service. You can stop sharing at any time, which removes public access going forward.
  • Portability: You may export your notes and graph data in standard Markdown at any time.

6. AI-generated content

The Service can generate, expand, and summarize notes using third-party AI models. AI output may be inaccurate, incomplete, or outdated, and it is not professional, legal, medical, or financial advice. You are responsible for verifying anything you rely on, and for ensuring the content you submit to AI features does not infringe anyone's rights.

7. Suspension and termination

  • You may stop using the Service and delete your account at any time.
  • We may suspend or terminate access for a material breach of these Terms, unlawful use, non-payment, or conduct that threatens the security or availability of the Service. Where practical and lawful, we will give notice and an opportunity to fix the problem first.
  • On termination for breach, no refund is owed beyond the 14-day window in section 3. Sections 5 (ownership), 6, 8, 9, and 10 survive termination.

8. Warranty and liability disclaimers

  • Service availability: The Service is delivered on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. We do not guarantee uninterrupted uptime, error-free synchronization, or that your data will never be lost. Keep your own copies of anything critical.
  • Liability ceiling: TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENOTESEARCH, HANDELE TECHNOLOGIES INC., AND ITS OPERATORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST DATA, PROFITS, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO RENOTESEARCH IN THE PRECEDING 12 MONTHS, OR (B) $50.00 USD.

9. Changes to the Service and these Terms

We may add, change, or remove features, and we may update these Terms. When a change is material we will update the "last updated" date above and, for signed-in users, surface a notice in the app. Continuing to use the Service after a change means you accept the updated Terms.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts located in Ontario, Canada have exclusive jurisdiction, except where mandatory consumer-protection law in your country of residence gives you the right to bring a claim locally.
